This Terms of Use is entered into by and between Finoledge TechPvt Ltd (hereinafter referred to as the "Company") and the Customer, its Teams and End Users.
The Company, its Teams and the End Users shall hereinafter be individually referred to as a "Party" and collectively referred to as the "Parties", as the context may require.
The Parties agree that the following terms shall have the meanings attached to them:
The Company does not guarantee that the Portal or NavigateAIF Service will function on any particular hardware. Services are provided on an "as is" and "as available" basis.
The Company disclaims all implied covenants, representations, and warranties. All decisions made by the Customer in relation to any project using NavigateAIF Services are at the sole discretion of the Customer.
Each Party warrants they have the legal right and authority to enter into this agreement. The Customer and End User covenant that they shall not:
The Customer and End User shall defend and hold harmless the Company and its directors ("Indemnified Parties") from claims arising out of misrepresentation or tax liabilities.
The aggregate liability of the Company shall be limited to the fee payable for the specific services, interest-free, excluding consequential damages.
This agreement is governed by the Laws of the Republic of India. Disputes shall be resolved through good faith negotiations, failing which, they shall be settled by arbitration in Bangalore, India, in accordance with the International Arbitration Act, 1994.
Refund requests will only be entertained if made via Email within 14 days of the transaction date. If services are terminated for breach, the Customer remains liable for unpaid fees.
This Terms of Use, along with the Privacy Policy, comprises the entire agreement between the Parties, superseding all prior negotiations or discussions.
